In short

  • Wizawiz is a prompt-building platform with AI features that run on credits. These Terms are a binding contract between you and Wizawiz. By creating an account or using Wizawiz you accept them.
  • You must be at least 13 years old. Keep your login secure; one account per person.
  • Paid plans renew automatically until you cancel, which you can do any time from your billing page — you keep access until the end of the period you paid for. Your first subscription payment is covered by a 7-day money-back guarantee.
  • Credits are the unit for AI features. Monthly plan credits reset each period; purchased and bonus credits do not currently expire. Credits have no cash value except for earned income in your income wallet.
  • AI output can be wrong, biased, or similar to what others receive. Check it before you rely on it. You own your inputs, and we assign to you whatever rights we have in outputs produced for you.
  • You keep ownership of your prompts and wizards. You give us the licence we need to host and run them, and — if you publish a wizard — a licence for other users to run it.
  • Creators earn a share of paid wizard unlocks; affiliates earn a commission on subscriptions they refer. Payouts are reviewed, have minimums and hold periods, and fraudulent or refunded activity is not paid.
  • Don't use Wizawiz for anything illegal, harmful, or abusive — in particular no sexual content involving minors, no non-consensual intimate imagery, and no deceptive deepfakes.
  • If you live in the United States, disputes are resolved by individual arbitration unless you opt out within 30 days. EU and UK consumers keep all the rights their local law gives them, including going to their local courts.

This summary is provided for convenience only. It is not part of the agreement and does not replace the full text below, which governs.

1.Who we are and what you are agreeing to

These Terms of Service (the "Terms") are a legally binding agreement between you and Wizawiz ("we", "us"), the operator of the Wizawiz website at wizawiz.com and the related applications, APIs and services (together, the "Service").

By creating an account, clicking a button that says you agree, or otherwise accessing or using the Service, you accept these Terms and our Privacy Policy, which explains how we handle personal data. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind it, and "you" includes that organisation. Your personal workspace belongs to you; a workspace's subscription and credits belong to the workspace.

Important notices

The section on governing law and dispute resolution contains an arbitration agreement and class action waiver that applies to residents of the United States. The section on plans, subscriptions and payment explains automatic renewal, refunds and the statutory withdrawal right of EU and UK consumers. The section on AI features explains the nature and limits of AI-generated output.

2.Eligibility and accounts

  • Age. You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf. We do not knowingly allow children under 13 to hold accounts.
  • Accurate information. You agree to provide accurate, current information when you sign up (including a working email address) and to keep it up to date.
  • One account per person. You may hold one account. Creating additional accounts to obtain extra welcome credits, promotions, referral commissions or any other benefit is prohibited and may result in all related accounts being closed and benefits reversed.
  • Security. You are responsible for keeping your password and sign-in methods (including Google sign-in) confidential and for everything that happens under your account. Tell us immediately at support@wizawiz.com if you suspect unauthorised access.
  • Sign in with Google. If you sign in with Google, Google's terms and privacy policy also apply to that sign-in. We receive your email address and the name on your Google account; see the Privacy Policy.
  • Restricted persons. You may not use the Service if you are prohibited from receiving it under applicable export-control or sanctions laws, or if we have previously suspended or terminated your account for a breach of these Terms.

3.The Service

Wizawiz helps you build and manage prompts for AI tools. Depending on your plan, the Service includes guided prompt wizards (including wizards published by other users), the AI Mixer, Safe Pass prompt rewriting, the Prompt Extractor for images and short videos, AI generation previews (text, images and video), a versioned prompt library, unlisted sharing links, a creator programme for publishing premium wizards, and a referral programme. Features, limits and prices for each plan are shown on our pricing page and in your account.

  • Changes to the Service. We are continuously developing the Service. We may add, change or remove features, models, limits and integrations. If a change materially reduces the core functionality of a paid plan, we will notify you and, if you do not agree, you may cancel and receive a pro-rata refund of any pre-paid, unused subscription fees for the remainder of your current term.
  • Beta features. Features marked beta, preview, experimental or similar are provided for evaluation, may be withdrawn at any time, and are provided "as is" to the extent permitted by law.
  • Third-party AI models. AI features are provided using models operated by third-party providers (see AI features and AI-generated output). Which provider serves a given request may change without notice; we show the model or provider where it is relevant to price.
  • Availability. We aim for the Service to be available at all times but do not guarantee uninterrupted access. Planned maintenance, provider outages and events outside our control can interrupt the Service.

4.Plans, subscriptions and payment

The Service offers a free plan and paid subscription plans billed monthly or yearly, plus one-time credit packs on eligible plans. Current prices, included credits and limits are shown at checkout and on the pricing page. Prices are in US dollars unless stated otherwise and exclude any VAT, GST, sales or similar taxes, which are added where we are required to collect them.

  • Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or yearly, as you chose) and your payment method is charged the then-current price for your plan, until you cancel. By subscribing you authorise these recurring charges. We will tell you at checkout, and before the charge where the law requires it, the price, the billing frequency and how to cancel.
  • How to cancel. You can cancel at any time in two clicks from your billing settings (Settings → Membership → "Manage subscription"), which opens our payment provider's secure portal. Cancellation takes effect at the end of the current billing period; you keep access to paid features until then, after which your workspace returns to the free plan — your library, wizards and history stay in your account (creating new items is subject to the free plan's limits). We do not charge cancellation fees. You may also cancel by emailing support@wizawiz.com from your account email.
  • Payment processing. Payments are processed by Stripe. We never see or store your full card number. Stripe's terms and privacy policy apply to the payment itself. You authorise us and Stripe to charge your chosen payment method for all fees due.
  • Failed payments. If a renewal payment fails, we (through Stripe) may retry it and notify you. If it remains unpaid, your workspace may be moved to the free plan and paid features suspended until payment succeeds.
  • Price changes. We may change prices. For existing subscriptions we will give you at least 30 days' notice by email or in the Service before a price increase takes effect at your next renewal, so that you can cancel before it applies. Continuing your subscription after that date means you accept the new price.
  • Plan changes. You can upgrade, downgrade or switch billing interval from your billing settings. Changes are handled and, where applicable, prorated by our payment provider, and the resulting charge or credit is shown before you confirm.
  • Promotions. Promo codes, flash offers, welcome credits and other promotions are subject to the conditions shown when offered, may be limited in time or number, cannot be combined unless stated, and may be withdrawn or reversed if obtained through fraud or misuse (for example, multiple accounts or disposable email addresses).
  • Chargebacks. If you dispute a charge with your bank instead of contacting us first, we may suspend the workspace and reverse credits, unlocks, commissions and income associated with the disputed payment while the dispute is resolved. Please contact support@wizawiz.com first — most billing issues are resolved within a day.

4.1Refunds, money-back guarantee and withdrawal rights

  • 7-day money-back guarantee. If you are not satisfied with your first paid subscription, email support@wizawiz.com within 7 days of your first subscription payment and we will refund that payment in full. The guarantee applies once per person, to your first subscription payment (not to renewals or credit packs). When we refund, the plan's credits and benefits are removed and the workspace returns to the free plan. We may decline a refund where we reasonably believe the guarantee is being abused (for example, repeated sign-ups or substantial use of the earned-income features).
  • Credit packs. A credit pack is delivered to your workspace immediately. If you have not used any of the credits from a pack, you may request a full refund within 14 days of purchase. Once any credit from a pack has been used, the pack is non-refundable, except as described below or where the law requires otherwise.
  • Other refunds. Except as set out in this section, required by law, or offered by us in writing, fees are non-refundable and there are no refunds or credits for partially used periods, unused credits, or downgrades.
  • EU and UK consumers — right of withdrawal. If you are a consumer in the European Union, European Economic Area or United Kingdom, you have a statutory right to withdraw from a distance contract within 14 days without giving a reason. For subscriptions, you may withdraw within 14 days of purchase and we will refund the amount paid less a proportionate amount for the service provided up to the moment you told us (the money-back guarantee above gives you a full refund in the first 7 days). For credit packs, by purchasing you request immediate delivery of the credits and acknowledge that you lose the right of withdrawal once you start using them; an unused pack can be withdrawn from within 14 days as described above. To withdraw, email support@wizawiz.com with a clear statement (you may, but need not, use the model withdrawal form in Annex I(B) of Directive 2011/83/EU). Refunds are made to the original payment method within 14 days of your notice.
  • Failed AI runs. If an AI run fails in a way that never produces a result, the credits charged for it are refunded to your workspace automatically.

4.2Credits

  • What they are. Credits are the unit used to meter AI features (for example a Mixer analysis, a Safe Pass rewrite, a Prompt Extractor run, an AI generation preview, or unlocking a premium wizard). The price of each action in credits is shown before you run it and may change prospectively. Credits are a limited, revocable licence to use the Service; they are not money, a deposit, a stored-value product or a gift card, have no cash value, earn no interest, and cannot be transferred or sold — with the one exception of earned income described in the creator programme section.
  • Exchange rate. We present credit prices at a stated rate (currently 100 credits per US dollar) so you can see the value of what you are using; this rate is used for displaying prices and converting earned income and is not a promise that credits can be redeemed for money.
  • Monthly allowance. Credits included in a paid plan are granted at the start of each billing period and do not roll over: unused plan credits expire when the period ends.
  • Purchased and bonus credits. Credits from credit packs, top-up bonuses, promotions and income conversions are held in dated lots and do not currently expire, oldest lot first. The expiry date of each lot is shown in your credits settings; changes to the expiry policy apply only to lots granted after the change.
  • Free plan credits. Welcome and free-plan credits may be limited to particular features and may be withheld or reversed where we detect misuse (for example disposable email addresses or duplicate accounts).
  • Reversal. We may reverse credits that were granted in error, obtained by fraud or in breach of these Terms, or that relate to a refunded or disputed payment.

5.AI features and AI-generated output

Many features send the content you provide (your prompts, answers to wizard steps, text, images or short videos you upload, and links you paste — your "Input") to artificial-intelligence models and return text, structured prompts, images or video ("Output"). The models are operated by third-party providers — currently including Google (Gemini), Anthropic (Claude) and fal.ai, and, where enabled, OpenAI, OpenRouter, DeepSeek and Groq — on our accounts and under our agreements with them. Your Input is processed on our servers and the provider's; the browser never talks to a provider directly.

  • Output can be wrong. AI systems are probabilistic. Output may be inaccurate, incomplete, outdated, offensive, biased, or may not reflect real people, places or facts, and can change between runs. You must evaluate Output for accuracy and suitability before relying on it, including before publishing it or using it for any decision that affects you or others. Output is not professional (legal, medical, financial, safety or other) advice.
  • Output may not be unique. Because models respond to similar Input in similar ways, other users may receive the same or similar Output. We do not promise that Output is original or that it does not resemble existing works, and you are responsible for checking that your use of Output does not infringe anyone's rights.
  • Ownership. As between you and us, you own your Input. To the extent permitted by law, we assign to you all of our right, title and interest, if any, in Output generated for you, so that you may use it for any lawful purpose, including commercially. You acknowledge that under the laws of many countries (including the United States) content generated solely by AI without sufficient human authorship may not be protected by copyright, and that we make no representation that Output is protectable or that you can exclude others from using similar Output.
  • Provider terms. You must not use AI features in ways that violate the usage policies of the model providers serving your request, as made available in the Service or on their websites; providers may refuse, filter or block requests, and we may pass on their restrictions.
  • Safe Pass. Safe Pass rewrites a prompt to be safe-for-work and to respect the stated content rules of a destination platform, and it refuses when a request has no compliant form. It is a drafting aid, not a guarantee that any platform will accept the resulting prompt or output, and it must not be used to evade a platform's rules.
  • Prompt Extractor and uploads. You may only upload or link to media that you own or have the right to use for this purpose. Uploaded videos are processed and then deleted (see the Privacy Policy); extracted prompts describe style and composition and are not a licence to reproduce the original work.
  • No training by us. We do not use your Input or Output to train or fine-tune AI models. Our providers process your Input under business/API terms that restrict their use of it to providing their service to us; the Privacy Policy describes each provider's stated position on training and retention. We may use aggregated, de-identified usage metrics (such as which features are popular) to improve the Service.
  • Transparency and labelling. Where the law requires (for example under the EU Artificial Intelligence Act for deep fakes or AI-generated text published to inform the public on matters of public interest), you are responsible for clearly disclosing that content you publish was generated or manipulated by AI, and you must not remove or obscure any AI-provenance label, watermark or metadata attached to Output. We may attach such markings to Output ourselves.
  • Restricted Output. You must not use the Service to create or distribute: sexual content depicting minors; sexually explicit imagery of real, identifiable people without their consent; deceptive deepfakes of real people (including for fraud, harassment, political manipulation or defamation); content that facilitates violence, self-harm, terrorism, weapons of mass destruction or serious crime; malware; or content that infringes others' rights. 6.Your content and licences

"Your Content" means everything you create, upload or store in the Service: prompts, wizards and their steps and options, library items, notes, uploaded images and videos, Input and the Output you keep. You own Your Content. These Terms do not give us any ownership of it.

  • Licence to us. You grant Wizawiz a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display and create derivative works of Your Content solely as needed to provide, secure, support and improve the Service, to comply with law, and as otherwise permitted by these Terms and the Privacy Policy. This licence ends when you delete the content or your account, except for (i) copies in backups for a limited period, (ii) content you have published or shared, for as long as others retain it, and (iii) where retention is required by law.
  • Public wizards. If you publish a wizard (after review, see the creator programme section), you grant every user of the Service a non-exclusive licence to view and run it to create prompts for their own use, and — only if you enable those options — to clone it into their own account and/or export its definition. Your display name is shown as the author. You grant us the right to display the wizard's name, description, thumbnail and author name in listings and to promote it within the Service. You can un-publish a wizard at any time; copies users already cloned or exported remain theirs.
  • Unlisted share links. Prompts you share by link are accessible to anyone who has the link, without signing in. Only share links with people you trust, and revoke a link when you no longer want it to work.
  • Your responsibility. You represent that you have all rights needed in Your Content and that Your Content and your use of the Service do not violate the law, these Terms, or anyone's rights (including privacy, publicity and intellectual-property rights). We do not pre-screen content except where stated, but we may review it to enforce these Terms.
  • Removal and moderation. We may remove, reject, hide, limit the visibility of, or refuse to publish content that we reasonably believe violates these Terms, the law, or the policies of a model provider, or that creates risk for us or other users. Where the law requires (for example under the EU Digital Services Act), we will tell you the reason and how to contest the decision. Submissions to publish a wizard may be declined with a note; editing an approved wizard re-submits it for review.
  • Feedback. If you send us ideas or suggestions, you allow us to use them without obligation to you.
  • Backups. We are not a backup service. Export or keep copies of content that matters to you.

7.Creator programme, income wallet and payouts

Eligible plans let you publish premium wizards that other users unlock with credits. When a user unlocks your premium wizard, a share of the credits (your creator share, shown on the pricing page and in your income settings, and depending on your plan and whether your subscription is active) is added to your income wallet in the same transaction. The platform keeps the remainder. Wizards published by Wizawiz itself pay no creator share.

  • Publishing and review. A wizard becomes public only after we review and approve it. We may decline, with a note, any wizard that does not meet our quality, safety or legal standards, and we may un-publish wizards later. You may set an unlock price up to the maximum we allow. An unlock is a one-time, permanent purchase for the buying workspace and includes future updates to the wizard.
  • Lapsed subscriptions. If your subscription lapses, wizards you have already published keep earning at the reduced share shown for your plan status.
  • Using income. You can (a) withdraw your income balance in US dollars, or (b) convert it into platform credits with a 10% bonus; converted credits are subject to the credits terms (including expiry). The conversion is final.
  • Withdrawals. The minimum withdrawal is 1,000 credits (about $10 USD) at the conversion rate in force when you request it. When you request a withdrawal the amount is deducted from your balance and the request is reviewed manually; approved requests are paid to the payout email or account you provide using the payout methods we support at the time — we aim to pay within 14 days of approval. Rejected requests are returned to your balance with a reason. You are responsible for providing correct payout details and for any fees your payout provider charges.
  • Verification and taxes. Before paying, we may ask you to verify your identity, tax status and eligibility (for example, a tax form or proof of address) and we may withhold payment until you do. You are responsible for all taxes on income you earn; we may report payments to tax authorities and withhold taxes where the law requires.
  • Adjustments. If an unlock is refunded, disputed or reversed, or was obtained through fraud or in breach of these Terms, we may reverse the corresponding income (deducting from your future income if your balance is insufficient). We may suspend or cancel payouts where we reasonably suspect fraud, self-dealing (for example unlocking your own wizards from other accounts), manipulation of the programme, or a breach of these Terms.
  • Changes. We may change creator share rates, the conversion bonus, minimums, limits and payout methods prospectively, with notice in the Service. Changes do not affect income already credited.
  • Not employment. Participating in the creator programme does not create an employment, agency, partnership or franchise relationship.

8.Referral (affiliate) programme

If you join the referral programme you receive a personal referral link. When a new user signs up through your link and their workspace pays for a subscription, you earn a commission of 30% (or the rate shown in your affiliate dashboard at the time) of the net subscription payments made by that workspace during the 6 months following its first paid invoice. Commissions are calculated on the subscription payments we actually receive from that workspace, after discounts, and net of any refunded or disputed amounts.

  • Hold and payment. Each commission is held for 14 days to cover the refund and chargeback window, then reviewed. Approved commissions are paid to the payout email or account in your affiliate settings using the payout methods we support, in accordance with the creator programme section (including the verification and tax provisions). Commissions on payments that are refunded, disputed or reversed are cancelled, and already-paid amounts may be deducted from future commissions.
  • Real referrals only. Referring yourself, your own other accounts, or people in your household or organisation to obtain a commission is prohibited. Attribution requires the referred user to actually click your link and then sign up; we do not credit cookie stuffing, forced redirects, hidden iframes, or automated traffic.
  • How you may promote. You must identify yourself as a Wizawiz affiliate and disclose that you earn a commission, clearly and conspicuously, wherever you share your link (as required by the US FTC Endorsement Guides and similar laws). You must not: send unsolicited messages (spam); bid on or use our name, trademarks or misspellings in paid search or as a domain; impersonate Wizawiz or imply you are us; make false or misleading claims about the Service; offer cash-backs or incentives that we have not authorised; or promote on sites containing illegal or adult content.
  • Changes and termination. We may change the commission rate, window, hold period and payout terms prospectively with notice, and may suspend or remove you from the programme (and cancel unpaid commissions) if you breach this section or these Terms. Commissions that have already been approved will be paid unless they are tainted by the breach.
  • Independent status. You are an independent promoter, not our employee, agent or partner, and you have no authority to make commitments on our behalf.

9.Acceptable use

You agree not to, and not to help or allow anyone else to:

  • use the Service to violate any law or regulation, or to infringe, misappropriate or violate anyone's intellectual-property, privacy, publicity or other rights;
  • create, upload, generate, share or request content that is sexual content involving minors, non-consensual intimate imagery, deceptive synthetic media of real people, incitement to or glorification of violence or terrorism, harassment, hate speech, or content that promotes self-harm;
  • use the Service for fraud, deception, phishing, scams, impersonation, or to generate spam, fake reviews or misleading political content;
  • attempt to gain unauthorised access to the Service, other accounts, or our systems; probe, scan or test their vulnerability without our written permission; or interfere with their operation (including by overloading, denial-of-service or introducing malware);
  • scrape, crawl, bulk-download or harvest content or data from the Service (including other users' wizards or prompts) other than through features we provide for that purpose, or use the Service to build a competing product or to train an AI model on content obtained from it;
  • reverse engineer, decompile or attempt to extract the source code, models, prompts or system instructions of the Service except where the law gives you that right;
  • circumvent or manipulate credits, limits, prices, promotions, the review process, the creator share, referral attribution or payouts, including by using multiple accounts or automated tools;
  • resell, sublicense, rent or provide the Service to third parties as a service bureau, or share your account;
  • remove or alter any proprietary notices, labels, watermarks or AI-provenance markings; or
  • use the Service in any way that we reasonably consider abusive, that damages our reputation or relationships with providers, or that violates a model provider's usage policy.

We may investigate suspected violations and take any action we consider appropriate, including removing content, reversing credits or income, limiting features, suspending or terminating accounts, and reporting to law enforcement. We may also set and enforce reasonable limits on usage (such as requests per minute or file sizes) to protect the Service.

10.Our intellectual property; copyright complaints

  • Our rights. The Service — including its software, design, text, graphics, logos, the Wizawiz wizards and step libraries we publish, and all related intellectual-property rights — is owned by Wizawiz or its licensors and protected by copyright, trademark and other laws. Except for the rights expressly granted in these Terms, we reserve all rights. Wizawiz, the Wizawiz logo and our other marks may not be used without our prior written permission.
  • Your licence to use the Service. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes. Prompts you create with our wizards are yours to use; the wizard definitions we publish remain ours.
  • Copyright and other complaints. We respect intellectual-property rights and expect users to do the same. If you believe content on the Service infringes your copyright, send a notice to support@wizawiz.com that includes: (1) identification of the copyrighted work; (2) identification of the material you claim is infringing and enough information to locate it (for example the URL); (3) your contact details; (4) a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent or the law; (5) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorised to act for the owner; and (6) your physical or electronic signature. We will remove or disable access to material that we determine to be infringing, may notify the user who posted it, and will terminate the accounts of repeat infringers. If you believe your content was removed by mistake, you may send us a counter-notice with the information required by 17 U.S.C. § 512(g)(3). Knowingly making a false claim may expose you to liability.
  • Non-consensual intimate imagery. If an intimate image or video depicting you (including an AI-generated or altered one) appears on or is produced through the Service without your consent, email support@wizawiz.com with enough information for us to locate it and a statement that it is non-consensual. We will remove such content, and any identical copies we can identify, as quickly as possible and in any event within 48 hours of a valid request, and we may terminate the responsible account.

11.Third-party services and links

The Service relies on and links to third-party services that we do not control — including Stripe for payments, Google for sign-in, and the AI model providers named in the AI features section — and may contain links to third-party websites (including links that pass through our redirect pages). Your use of a third-party service is governed by its own terms and privacy policy. We are not responsible for third-party services or websites, for their availability, or for content, products or services offered through them, and we do not endorse them. Outbound links may be updated over time.

12.Privacy

Our Privacy Policy explains what personal data we collect, how we use and share it (including with AI providers and other subprocessors), how long we keep it, and your rights. It forms part of these Terms. By using the Service you acknowledge that we will process your data as described there.

13.Suspension and termination

  • By you. You can stop using the Service at any time and cancel any paid plan as described in Plans, subscriptions and payment. You can ask us to delete your account by emailing support@wizawiz.com from your account email; see the Privacy Policy for what deletion means for your data.
  • By us. We may suspend or terminate your access to all or part of the Service, or close your account, (a) immediately if you materially breach these Terms, act fraudulently, create risk or legal exposure for us or other users, or if required by law or a provider; (b) if your account has remained on the free plan with no activity for 24 months, after notice by email; or (c) for any other reason on at least 30 days' notice. Where reasonable, we will give you an opportunity to cure a breach first.
  • Effect. On termination your licence to use the Service ends, and we may delete Your Content after a reasonable period (see the Privacy Policy). Unused credits are forfeited, except that if we terminate without cause we will refund the pro-rata unused part of a pre-paid subscription and pay out income and approved commissions above any applicable minimum that are not subject to a dispute or suspected fraud. Credits, income and commissions associated with fraud, abuse or a material breach are forfeited. Sections that by their nature should survive termination (including those on AI output, your content, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution and general terms) survive.

14.Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, ALL CONTENT AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT OUTPUT WILL BE ACCURATE, RELIABLE, ORIGINAL OR SUITABLE FOR ANY PURPOSE, THAT ANY PROMPT WILL PRODUCE A PARTICULAR RESULT ON ANY PLATFORM, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AND OUTPUT AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. If you are a consumer in the EU, EEA or UK, nothing in these Terms affects your statutory rights, including your rights in relation to digital content and digital services that are not as described, not fit for purpose or not of satisfactory quality.

15.Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WIZAWIZ, ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR CONTENT, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE OR ANY OUTPUT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (II) ONE HUNDRED US DOLLARS (US$100).

These limitations do not exclude or limit liability that cannot be excluded or limited by law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or, for consumers in the EU, EEA and UK, liability under mandatory consumer-protection law. They are intended to apply to the maximum extent the law allows and reflect a reasonable allocation of risk given that the Service is provided at low cost and relies on third-party AI systems whose output we do not control.

16.Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Wizawiz and its affiliates, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content or your use of Output; (b) your use of the Service in breach of these Terms or the law; (c) your participation in the creator or referral programmes, including your promotional activities; or (d) your violation of any third-party right. We may assume the exclusive defence and control of any matter subject to indemnification, in which case you will cooperate with us. This section does not apply to consumers in jurisdictions where such indemnities are unenforceable against consumers.

17.Governing law and dispute resolution

Talk to us first. Most concerns can be resolved quickly and informally. Before starting any formal proceeding, you agree to email support@wizawiz.com with a description of the issue, your account email and the relief you seek, and to give us 60 days to try to resolve it with you. We will do the same before bringing a claim against you. The limitation period is paused during this 60-day period.

Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the country (and, where applicable, the state or province) in which Wizawiz is established, without regard to conflict-of-law rules, and — for US residents — by the US Federal Arbitration Act for the arbitration agreement below. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country (or US state) where you habitually reside. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.1Arbitration agreement and class action waiver (United States residents)

Please read carefully

This section applies only if you reside in the United States. It requires you and Wizawiz to resolve most disputes through binding individual arbitration rather than in court, and it waives jury trials and class actions. You can opt out within 30 days, as explained below.

  • Agreement to arbitrate. You and Wizawiz agree that any dispute, claim or controversy arising out of or relating to these Terms, the Service, Output, or our relationship (a "Dispute"), including the scope, enforceability or validity of this arbitration agreement, will be resolved exclusively by final and binding arbitration, except as set out in the exceptions below. This agreement is governed by the Federal Arbitration Act.
  • Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies and stays there; (b) seek a court order to stop unauthorised use or abuse of the Service or infringement of intellectual-property rights; and (c) bring a claim before a government agency with authority to hear it.
  • Arbitration procedure. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at adr.org), as modified by this section, before a single neutral arbitrator. It may be conducted by documents, by video call, by phone or in person in the county where you live, at your choice. The arbitrator may award any relief a court could award to the individual claimant, must follow these Terms, and must issue a reasoned written decision. Judgment on the award may be entered in any court with jurisdiction.
  • Fees. Payment of filing, administration and arbitrator fees is governed by the provider's rules. If the arbitrator finds that your claim is not frivolous, we will reimburse your filing fee where it exceeds what you would pay in small claims court; we will not seek our attorneys' fees from you unless the arbitrator finds your claim frivolous or brought for an improper purpose.
  • No class or representative actions. YOU AND WIZAWIZ AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of different users or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim or request for relief (for example, a public injunctive relief claim), that claim or request will be severed and decided by a court after all arbitrable claims are resolved.
  • Mass arbitration. If 25 or more similar arbitration demands are brought by or with the help of the same law firm or organisation, they will be resolved in staged batches of up to 50 demands each (selected at random, half by each side), with one arbitrator per batch, and the provider's fees will be payable per batch. The parties will meet and confer in good faith about applying the result of the first batches to the rest. Courts, not the arbitrator, decide disputes about this paragraph.
  • 30-day opt-out. You may opt out of this arbitration agreement by emailing support@wizawiz.com from your account email within 30 days of first accepting these Terms (or of our first notifying you of this agreement), stating your name, the account email and that you want to opt out of arbitration. Opting out does not affect any other part of these Terms, and you cannot opt out only of the class waiver.
  • Jury waiver; courts. If for any reason a Dispute proceeds in court rather than arbitration, you and Wizawiz each waive any right to a jury trial, and the Dispute will be brought exclusively in the courts having jurisdiction at the place where Wizawiz is established, and you consent to their jurisdiction, subject to any right you may have under applicable law to bring a claim where you live.
  • Changes. If we change this arbitration section after you accept it, you may reject the change by opting out as described above within 30 days of the change, in which case the last version you accepted applies.

17.2Consumers outside the United States

  • EU, EEA and UK consumers. Nothing in these Terms requires you to arbitrate or limits your right to bring proceedings in the courts of the country where you live, and you benefit from the mandatory consumer-protection laws of that country. You may also be able to refer a dispute to a consumer dispute-resolution body in your country; we will tell you whether we participate if you ask.
  • Everyone else. Disputes will be brought in the courts having jurisdiction at the place where Wizawiz is established, without prejudice to any right you have under mandatory law to sue, or be sued, in the courts of your place of residence.

18.Changes to these Terms

We may update these Terms from time to time, for example to reflect new features, changes in the law or in our providers' requirements. If a change is material, we will give you at least 30 days' notice before it takes effect by email to your account address and/or a prominent notice in the Service, and we will update the "Last updated" date and version number above. Changes that are required by law, that address security or abuse, or that are to your benefit may take effect sooner. If you do not agree to a change, you must stop using the Service and may cancel your subscription and close your account before the change takes effect; continuing to use the Service after that date means you accept the updated Terms. The version that applies to a dispute is the version in force when the dispute arose. Previous versions are available on request.

19.General terms

  • Entire agreement. These Terms (with the Privacy Policy and any plan-specific or programme-specific terms we present to you in the Service) are the entire agreement between you and us about the Service and supersede any prior agreements. Marketing statements are not warranties unless repeated here, except for guarantees we expressly advertise (such as the money-back guarantee).
  • Assignment. You may not assign or transfer these Terms or your account. We may assign our rights and obligations to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets, and will notify you of any such assignment.
  • Severability and waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of third-party providers, internet failures, natural disasters, war, strikes, and government action.
  • Export and sanctions. You agree to comply with applicable export-control and sanctions laws and represent that you are not located in, or ordinarily resident in, a country or region subject to comprehensive sanctions and are not on any restricted-party list.
  • Notices. We may give you notice by email to the address on your account or through the Service. Legal notices to us must be sent to support@wizawiz.com.
  • Language. These Terms are written in English. Translations, if any, are for convenience and the English version prevails to the extent permitted by law.
  • No third-party beneficiaries. Except for the parties indemnified under Indemnification, these Terms do not give any third party rights.
